Mechanisms Used in Common Law and Civil Law in Transfer of Syndicated Coursework
Mechanisms Used in Common Law and Civil Law in Transfer of Syndicated Dept - Coursework Example It is also subject to being added upon by legislation from a law making legislature such as parliament. Here previous rulings give guidance on current cases and are referred to. It originated in England and is still used commonly there and in former Great Britain colonies such as Australia, New Zealand Canada and in most countries of the commonwealth. Debt syndication is a situation where many lenders come together to offer credit to an individual entity, a conglomerate, or a government to spread out the debt risk among the participating lenders (called the syndicate) and share in the profits of the debt proportionately under a single syndicated loan agreement. This paper gives an analytical introspection into common and civil law in reference to transfer of syndicated debt. Loan amounts involved in syndicated debts are normally much larger than normal debts, and a default could have serious ramifications on a single lender, hence the need to spread the risk among many lenders. There is a lead borrower known as the ââ¬Ëagentââ¬â¢ that does most of the administrative work concerning the loan or contributes proportionally larger debts.1 A syndicated loan can be provided as a term loan provision where a specified amount of loan is provided over an agreed time period of time called the ââ¬Ëterm. In addition, the borrower is usually allowed, under the given circumstances, a brief time after the loan availability to withdraw money up to the maximum limit and then repays in installments (amortization) or once at the expiry of the term (bullet payment). The syndicated loan may also be provided as a revolving loan facility where the borrower draws portions of the loan amount for a given period, for instance, within three to six months after which the repayment is due and can draw from the loan facility to repay the outstanding loan. This is a concept which is referred to as rollover loan. A syndicated loan can also be in the form of a general loan where new bor rowers can come into the agreement under specific circumstances and may also combine rollover loans and multiple term loans. This is a concept which is legally defined within the law.2 The borrower usually starts by approaching the lead borrower (agent) who advises the said borrower and contacts other lenders. The agent is the contact person with the borrower and represents the views of the syndicate. The agent also monitors how the borrower meets terms and conditions of the loan agreement. In addition, the agent keeps all records, collects all payments and interest from the borrower, and then pays both members of the syndicate at a fee. After a loan is approved with the requisite legal requirements satisfied, the borrower can then access the loan under the agreed terms. In this case, the borrower may wish to transfer the loan to a third party for a variety of reasons listed in the following part of the discussion. Acquire Capital The borrower may sell its interest in the syndicated loan if it is a long term loan facility to get capital or benefit from new better loan facilities. Reduce or Avoid Loss The borrower may experience difficulties and decide to sell its loan commitment to distressed debt specialists Capital

Accounting Theory (Australia) Essay Example | Topics and Well Written Essays - 500 words
Accounting Theory (Australia) - Essay Example Presently, the Japanese Generally Accepted Accounting Principles are recognized by the European Union. The Financial Services Agency of Japan is also working to have common regulations with the International Financial Reporting Standards. The Business Accounting Council has come up with deliberations about the treatment of consolidated financial statement based upon International Financial Reporting Standards within the purview of Japanese Security Exchange Law. This measure has been presumed as the regulatory response of Japan as it involves the treatment of IFRS based consolidated financial statement prepared by issuers of both, Japan as well as foreigners, to be listed in the Japanese market. Japan and other Asian countries should participate more into the regulatory authorities for their own benefit. Their valuable presence in the committees would voice their needs and requirements. Presently, the Accounting Standard Board of Japan is trying to build up consensus over various financial regulatory issues among the Asian economies. Among the various regulatory issues, BASEL reforms have been very crucial for the transformation of the banking sector. It has been observed that there have been certain issues in terms of compliance of BASEL norms in Japan. The financial disorder prevalent in the last decade and the continuous postponement of resolution of non ââ¬â performing loan (NPL) hindered compliance with the BASEL standards in Japan along with propagating political intervention in the economy of Japan that considerably hampered bank regulations. Today, it is almost certain in the periphery of the financial regulations that IFRS would make way for GAAP in due course of time as it has already adopted by European Union. Japan should focus more on accounting standards of IFRS rather than that of GAAP to be in line with the

A bee sting can cause enormous swelling. There are also matters to do with cat and dogs fur. Some patients suffer from different complications. While In the Gordon functional assessment the nurse inquiries on matters on elimination patterns. This is where the nurse asks the patients about matters regarding constipations. In Gordon assessment, the Nurses addresses on issues concerning the activity and exercises that the patient Takes every day. Between the two discussed health assessment methods, I would prefer the Gordon health assessment method. This is because Gordon entails more on the patients and it also gives the patient a solution to the problems. This is because the nurse focuses on various issues regarding the patient. These issues are like the activity and exercises. There is also the issue of pain where the nurse asks the patient about the sensory experience. The nurse also focuses on sleep and the rest of the patient, role of the sexuality on how the patient feels about his sexuality, values, and beliefs and also faces stress and a solution is given on how he tolerate the stress. Aircraft Accident Models - Article Example Instrumentation of monitoring equipments within the rotating parts requires design of temperature resistance sensors with ability to detect slight changes in flaws within the engine. The sensors must have excellent accuracy to deter active and latent errors that may occur due insensitivity of aircraft operators or attendants including the pilot. Essentially, such aircraft accident models including latent or active errors would greatly remain minimized with effective instrumentation of proper monitoring devices. Consequently, the article discusses initiatives explored by both NASA and AVSP in designing contemporary efficient sensors that would find proper use in monitoring flaws within gas engines. Such sensors would significantly assist in reducing aircraft accidents through effective monitoring of rotating components of the plane (Woike et al., 2005). The article remains imperative in presenting an investigative approach to other scientists towards establishing a novel sensor that would significantly reduce structural health issues and accidents associated with aircrafts. Moreover, findings and analysis outlined in the research would spur development of more novel approaches to combating aircraft accident models that have persistently caused problems within the airline

Introduction to the Health Professions I US Health Care System Summary Essay
Introduction to the Health Professions I US Health Care System Summary - Essay Example This high cost is mainly caused by the stakeholders, system failures, fraud, overtreatment and lack of coordinated care. The health care scheme in the U.S. is faced with several strengths and weaknesses. The health care system in the U.S. is identified as one of the finest medical facilities (Stark 18). This is attributed by technological development and exemplary human resources. The health care experts in the country are also the best. The health care system in the country is also financed heavily in order to enhance its effectiveness. On the other hand, reforming the health care in the country is a critical issue because it will require capital. There are also medical mistakes that are often made during the treatment of individuals. In the United States, there are approximately 49 million individuals who are not medically insured (Niles 77). Most of these individuals are the poor individuals who do not have the ability to afford health insurance. The citizens in the United States are supposed to have medical cover in order to reduce the mortality rate in the country. It is quite evident that there is immense resistance in the US in regard to universal health care. This is attributed by the verity that it is a single-payer system. This asserts that the government is the only source of finance in the entire healthcare system. As stated above, the United States spends approximately $2.6 trillion on health care (Stark 12). This cost is exceptionally high as compared to the amount that is spent in the education sector. Research asserts that the aging of the U.S. population has a vast impact in the health care industry. This places additional pressure on the revenue support programs for elderly individuals (Stark 23). Based on a health care perspective, the older individuals in the society require prompt health services. There are three leading concerns in the health care industry including access, cost and quality (Niles 98). These problems

Effective Approaches in Leadership and Management Essay Example for Free
Effective Approaches in Leadership and Management Essay The arrangement of health care system has reciprocated in regard to provide quality and modest care. The treatment of healthcare facilities have changeover at different levels in speciality care and acute illnesses to defensive health plan. The changes have seized effective direct approaches and delivery care. With the effort to balance the demands of patient needs in health care, many considerations are made including adjustments with budgets, decreasing excessive costs, and practicing effective means of delivery care. Nurses are challenged to keep up to a work environment that requires continual changes. The nursing industry today faces shortage, as many nurses have low job satisfaction, high compassion fatigue, and the patient ratios levels associate immense acuity. Furthermore, these factors have resulted in patient satisfaction and medical reimbursements. Notwithstanding all the identified issues and its effects, few nursing facilities are growing to next level to identify and promote nursing skills by setting framework to endeavour to gain Magnet status. This paper will focus in comparing and contrasting the expectations of the nursing managers and leaders approaches that may use in regard to magnet status. Magnet status is best defined by Miriam Hospital as ââ¬Ë a designation that is rewarded to hospitals for the concept of Magnet Culture; it is a working environment which enables nurses to practice and focus on skilful nursing, involving bedside decision making, nursing development and involvement, competent education, and promote nursing leadership skills (Miriam Hospital, n. d. ) The birth of magnet status undertook in beginning of 1980ââ¬â¢s when some hospitals were practicing new retaining ideas for nursing staff with motivation for patient care. Therefore, this concept was developed after few researches and finally it was made official through an article named: ââ¬Å"Magnet Hospitals: Attraction and Retention of Professional Nurses,â⬠written and published in 1983 by Dr. McClure president of the American Academy of Nursing (AAN), professor at New York University, and a member of the original task force (Hawke, 2004). Statistics prove that Magnet hospitals have superlative patient satisfaction scores, protected patient environments, minority of repeat admissions, and improved patient outcome. It is vital that various pre-requisites and qualifications must be met and maintained to execute the concept of Magnet status. The nursing leadershipà and management work in synchronization with their defined roles to achieve the goals of completing the tasks by establishing nursing staff participation needed to achieve skilful nursing. In order to receive accurate results, it is essential to define roles and target essential outcomes. According to Huber (2010), the aspect of management is to cater the resources that are required to achieve the target goal of organisation. A manager is expected to plan, organise and implement strategies from an organizing high level to enable the outline of requirements to meet the goal. The manager is responsible to practice the policies and procedures and carry them appro priately. In order to achieve Magnet status, the nurse manager needs to survey the patients and staff to identify and construct the areas of weakness that would improve the patient satisfaction. Some of the basic actions include financial stability by reducing the amount of waste, safeguarding medical reimbursement with patient satisfaction, and nursing practices that mirror decisions like bedside reporting, friendly patient care education, and timely rounding. The nursing leader is expected to provide assistant to the nurse manager in achieving goals by promoting smooth work flows through communication, and provide better understanding of their overall vision, and reasoning why these adjustments are necessary. The nursing leader can accomplish this by promoting trust and endeavouring mutual consent while managing issues (The difference between leadership and management, 2012). In comparison and contrast of the nursing managers and leader approaches there are few points to be considered. In ma nagement, the goals are carried out with the help of managers within the organisation. Whereas the leaders help to identify and develop new approaches to the issues emerging in the organisation. The managers work to fulfil the goals and continue to do, whereas the leaders undergo risks to challenge people and new ideas to break the chain (The difference between leadership and management, 2012). Frellick (2011) states that Magnet concept is created to facilitate and empower shared decision-making and accountability process. To achieve success in this concept, the healthcare facilities need to master in the regulations well known as the ââ¬ËFourteen Forces of Magnetismââ¬â¢, it consists of the new levels in nursing management, encouraging strong participation, and place where nurses are recognised and are able to contribute to the top management. In addition, one more key to success ifà the interdisciplinary relationships; it means the members of each department of healthcare are able to co-ordinate and work together; such as nurses, physicians, pharmacists and t herapists. Leadership aims on mutual consent of all team members and promotes respect and involvement of all departments, shared responsibilities and leadership style for actions. It is an necessary personal approach of the writer that personal involvement is the key for building working relationships between management and leadership professionals as they both promotes the organisational goals. If the nursing professionals have opinions and ideas that matters for the wellbeing of the patient satisfaction, then an extra effort to highlight the need is essential. Any new idea is difficult to execute without the commitment and facilitation of the managers and leaders and also among the other parties involved. Real efforts and success can be achieved by working together as a team, and aiming to contribute in a continuous methods in healthcare facilities for total patient satisfaction.
